1. Your Agreement to these Terms via Access of the Site or Platform

These Terms govern your use of the Site and Platform, both as a visitor and as a registered user (each visitor and each registered user is referred to generally for purposes of these Terms as a “Client User”). You consent to resolve any dispute with us in the State of New York. Lawtrades offers the site "AS IS" and without warranty. If you are registering an account or using the Site or Platform on behalf of an individual or entity other than yourself, you represent that you are authorized by such individual or entity to accept these Terms on such individual's or entity's behalf.

Lawtrades grants to you a non-exclusive, non-transferable, revocable limited license to use the Service for your personal non-commercial use. You agree not to use the Service for any other purpose, or to download, save, copy or distribute content on the Service not owned by you.  Lawtrades may change, modify, suspend, or discontinue Service(s) at any time. Lawtrades may also impose limits on features, or restrict all or part of your access to Service(s) at any time, in our own discretion, without notice or liability. Your use of the Service is conditioned upon compliance with this Agreement. Use of Lawtrades Service(s) in violation of this Agreement may constitute infringement of Lawtrades’s copyright.  Lawtrades reserves the right to terminate your access to the Service without notice if you violate this Agreement or for any reason, at Lawtrades’s discretion. Lawtrades or its vendors may require proof of identity to access or use the Service. You agree that you may be denied access if you refuse to provide proof of identity.

2. Content and Services

Everything we offer on and through the Site is referred to in these Terms as the "Services,” Platform, or Site. 

Some of what is on the Site is viewable without registering with us, but to actively participate or store your information, you must register as a member and authorize the use and disclosure of your personal and legal information pursuant to the terms of our Privacy Policy for purposes of allowing us to provide the Services and as otherwise disclosed in our Privacy Policy available at https://www.lawtrades.com/disclaimers-privacy.

3. Privacy and Information

The information that you receive from Lawtrades, and its affiliates is for informational and scheduling purposes only. Lawtrades is not a law firm nor does it offer you legal advice, recommendations, mediations or any kind of counseling. Lawtrades makes its Attorney Users available to you and any information provided to you by LawTrades (other than through an Attorney User that you hire to represent you) is (i) provided by independent legal professionals and organizations representing the interests of Lawtrades, (ii) is for informational purposes only, and (iii) does not establish any attorney-client relationship between you and Lawtrades.

4. Nature of Lawtrades Platform

Lawtrades is an online platform that connects legal professionals with potential Client Users seeking legal services. Lawtrades itself does not provide legal advice and does not provide legal services of any nature whatsoever.

Lawtrades does not guarantee that Client Users will find legal representation through its system. Lawtrades offers no opinion nor does it take a position on when or if an attorney-client relationship has been formed between its Client Users and Talent Users.

Lawtrades is not a party to the agreements between Client Users and Talent Users governing the attorney-client relationship, nor is Lawtrades involved in the actual representation of clients. As a result, Lawtrades cannot ensure the completion of agreements between the Client User and Attorney User, the accuracy or completeness of the work-product of the Attorney User, or the integrity of either party.

The Client User is responsible for evaluating the integrity and abilities of all talent users with whom the Client User communicates using the Site.

5. Lawtrades is Not a Law Firm. Lawtrades is not offering legal representation

Lawtrades does not offer any legal advice, legal opinions, recommendations, referrals, or counseling. Talent Users are not employees of Lawtrades and have no authority to serve as an agent of Lawtrades. You understand the nature of Lawtrades service offering and acknowledge and agree that Lawtrades cannot be responsible for actions or missions of any Attorney user performing services for you and accordingly, Lawtrades accepts no liability for your relationship with an Attorney User. Fees for legal services are not shared between talent users and Lawtrades. Our agreements will stipulate both a staffing fee and attorney fee.

6. Lawtrades is Not a Referral Service

Lawtrades is not a lawyer referral service. We do not recommend or endorse any specific Attorney User or other information that may appear on the Site for your information or use. Lawtrades makes no representations or warranties concerning an Attorney User’s qualifications aside from the lawyer being licensed to practice law in at least one state during registration. We do not make any warranty, guarantee, or representation as to the legal ability, competence, quality, or qualifications of any Attorney User. Lawtrades encourages Client Users to conduct their own due diligence on Attorney User’s qualifications and experience before entering into an attorney-client relationship. You acknowledge that Lawtrades services and content enable Client Users and talent users to do things including to meet each other and that such services and content do not signify an endorsement by Lawtrades of any Attorney User. Lawtrades does not sanction statements talent users may post on the Site. Lawtrades further makes no representation concerning the qualifications of non-attorney legal service providers who Client User may meet through the Site.

7. There is No Attorney-Client relationship between You and Lawtrades; You Cannot Hold Lawtrades responsible for any Act or Omission of Any User

No attorney-client relationship is created between you and Lawtrades through any other communications including, but not limited to, the “find a lawyer”, links to other sites or any assistance we may provide to help you find an appropriate legal professional. We make no guarantees, representations or warranties, whether expressed or implied, with respect to professional qualifications, expertise, and quality of work or other information herein. Furthermore, we do not in any way endorse any individual attorney. In no event shall we be liable to you or anyone else for any decision made or action taken by you in reliance on such information. We have no control over, and cannot guarantee the availability of any Attorney User at any particular time. We will not be liable for cancelled or otherwise unfulfilled appointments or any injury resulting therefrom, or for any other injury resulting from the use of the Site or Services whatsoever, outside of any professional liability policy that may cover certain users on-platform. You agree to perform your own due diligence prior to selecting an Attorney User and you agree to rely on the results of your independent due diligence when selecting or rejecting an Attorney User.

8. Talent Users Are Not Employees of Lawtrades

Talent users are independent legal professionals who offer to perform legal services to prospective clients. They are not employees of Lawtrades. 

Contractors may be terminated at anytime and without notice, including before, during, or after a specific assignment, in Lawtrades' sole discretion and/or based on Client-user feedback. Contractors may also be placed in limited, unvetted status on site, in Lawtrades' sole discretion and without notice.

9. All Legal Fees Are Paid to Talent Users, Not to Lawtrades

Talent Users are independent legal professionals. Clients may engage Talent Users by selecting a project through the Lawtrades platform. Lawtrades may charge a service fee for each project completed via the platform in exchange for creating, hosting, maintaining, and providing the Site and Services.

Soliciting or processing payments for Talent Users outside of the Lawtrades platform is prohibited and you agree to make all payments to Talent Users exclusively through Lawtrades. Talent Users may offer to perform legal services to prospective clients, but they are not employees of Lawtrades.

Lawtrades will process payments using the preferred payment method designated by the Client. Payments are final and non-refundable, unless otherwise determined by Lawtrades in its sole discretion. Any questions or disputes regarding charges should be directed to help@lawtrades.com.

You acknowledge and agree that you are solely responsible for determining the proper tax treatment of payments made to Talent Users engaged through the Service. Lawtrades does not provide tax advice, and you should consult with a qualified tax professional to ensure compliance with applicable tax laws.

Users engaged through the Service are responsible for their own tax obligations, including but not limited to reporting income and paying self-employment taxes. Lawtrades does not withhold, report, or remit taxes on behalf of Talent Users.

Lawtrades is not a party to the relationship between the Client User and the Attorney User(s) engaged through the Service. As such, Lawtrades assumes no responsibility or liability for any tax-related obligations, including but not limited to withholding, reporting, or remitting taxes on behalf of the Client User or the Attorney User. The Talent Users engaged through the Service are not employees of Lawtrades. You, as the Client User, are solely responsible for complying with all applicable labor, tax, and employment laws in your jurisdiction.

Lawtrades shall not be liable for any penalties, interest, or other consequences arising from your failure to properly withhold, report, or pay any taxes related to payments made to independent contractors through the Service. You agree to indemnify and hold Lawtrades harmless from any claims, liabilities, or damages arising from your tax-related obligations.

10. There Is No Fee to Lawtrades for Finding Engagements

Lawtrades does not recommend Talent Users to Client Users. Lawtrades merely makes its services available to enable Talent Users to communicate with Client Users. Therefore, Lawtrades does not charge a fee when you find an Attorney User that you decide to hire. 

11. Non-circumvention

Lawtrades charges you a staffing fee when you successfully hire a Talent User through the platform when you make payment to the Attorney User. You agree that for a period of 24 months from the time you hire an Attorney User or otherwise identify or are identified by any party through the Site, you use the Site as your exclusive method to request, make, and receive all payments for work directly or indirectly with that party or arising out of your relationship with that party. Lawtrades will terminate an Attorney User’s access to and use of the Site if such lawyer is found to be accepting payments outside of the Site from any Client User.

12. Expectations

You acknowledge and agree that you are ultimately responsible for choosing your own legal professional. Lawtrades provides you with a list of Talent Users for your independent consideration based in part upon the category of legal services that you are seeking and other information that you provide to Lawtrades including proximity to your geographical location. The name(s) of Talent Users we provide to you for your consideration could also be the result of a request by you for an Attorney User who represents familiarity with a certain area of law or meets your requested availability, or other such similar request. You acknowledge and agree that Lawtrades (i) does not recommend or endorse any Talent Users, (ii) does not make any representations or warranties with respect to any Talent Users or the quality of the legal services they may provide, and (iii) does not receive any additional fees from Talent Users for featuring them on or through the Site.

13. Your Responsibilities

You are solely responsible for your account and the activity that occurs while signed into or while using your account. If you sign up for the Service, you will create a personalized account which includes a unique username and a password to access the Service and to receive messages from Lawtrades. You are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. Lawtrades will not be responsible for any liabilities, losses, or damages arising from the unauthorized use of your computer (or any computing device) or your account. You acknowledge and agree that Lawtrades cannot guarantee the fitness of any Talent Users. Lawtrades recognizes that your relationship with an Attorney User could be governed by a written legal engagement agreement between you and the Attorney User specifying the terms, scope, limitations and conditions of the representation. You represent and warrant that: (i) you have the authority to, and are of legal age in your jurisdiction to, agree to these Terms; (ii) your use of the Site is for purposes that are permitted by these Terms; (iii) your use of the Site will not infringe or misappropriate the intellectual property rights of any third party; and (iv) your use of the Site will comply with all local, state and federal laws, rules, and regulations, and with all other Lawtrades policies.

14. Your Use and Restrictions

You are responsible for all use of the Site and for all use of your credentials, including use by others to whom you given your credentials. You may use the Site and the Services for lawful, non-commercial purposes only. You may not use the Site in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of the Site or the Services. You may not attempt to gain unauthorized access to any of the services, user accounts, or computer systems or networks, through hacking, password mining or any other means. Without limiting an of the foregoing, you agree that you shall not (and you agree not to allow any third party to use your credentials to): copy, modify, adapt, translate, or reverse engineer any portion of the Site, its content or materials and/or the Services; remove any copyright, trademark or other proprietary rights notices contained in or on the Site and/or the Services or in or on any content or other material obtained via the Site and/or the Services; use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve or index any portion of the Site and/or the Services; access, retrieve or index any portion of the Site and/or the Services for purposes of constructing or populating a searchable database of reviews related to the legal industry; reformat or frame any portion of the web pages that are part of the Site and/or the Services; misuse the Services by scheduling an appointment with an Attorney User who you have no intention of hiring; create user accounts by automated means or under false or fraudulent pretenses; collect or store personal data about other users in connection with the prohibited activities described in this paragraph; or use any means, including software means, to conduct web scraping of any portion of the Site, its content or materials and/or the Services. In addition to our rights in these Terms, we may take any legal action and implement any technical remedies to prevent the violation of this provision and to enforce these Terms.

15. Confidentiality

The Client User agrees that Lawtrades is not responsible for any harm that this Site or the Service may cause. Upon a request by us, the Client User agrees to indemnify, defend and hold us, our employees, contractors, officers, directors, agents, parent, other affiliated companies, suppliers, successors, and assigns harmless from and against any and all liabilities, claims, demands and expenses, including attorney’s fees, made by any third party that arise from or are related to (a) your access to the Site, (b) your use of the Services, or (c) the violation of these Terms or any intellectual property or other right of any person or entity, by you or any third party using your Credentials.

16. Indemnification

The Client User agrees that Lawtrades is not responsible for any harm that this Site or the Service may cause. Upon a request by us, the Client User agrees to indemnify, defend and hold us, our employees, contractors, officers, directors, agents, parent, other affiliated companies, suppliers, successors, and assigns harmless from and against any and all liabilities, claims, demands and expenses, including attorney’s fees, made by any third party that arise from or are related to (a) your access to the Site or Platform, (b) your use of the Services, or (c) the violation of these Terms or any intellectual property or other right of any person or entity, by you or any third party using your Credentials.

17. Communication and Other Data

Lawtrades is not responsible for any loss of data resulting from accidental or deliberate deletion, network or system outages, file corruption, or any other reasons. Lawtrades also reserves the right to release current or past Client User information in the event Lawtrades believes that accounts are in violation of the Terms or page content guidelines, used to commit unlawful acts, if the information is subpoenaed, and/or if Lawtrades deems it necessary and/or appropriate. We also reserve the right to deny service to offenders of these guidelines and to terminate or deny service to anyone for any reason or no reason.

18. Electronic Notices and Agreements.

Your use of this Site and/or registering for the Site or the Services constitutes your electronic signature to these Terms, which includes our Privacy and Cookie Policies, and your consent to enter into agreements with us electronically.

19. Premium Services

Lawtrades offers optional Premium Services including the Lawtrades Virtual Practice. By selecting a Premium Service you agree to pay Lawtrades the subscription fee indicated for that service. Payments for subscription services will be charged on the month following your subscription and will cover the use of that service for the period indicated. Cancellations must be received in writing by email (help@lawtrades.com) or by U.S. mail (Lawtrades, Inc., 35-37 36th St, Astoria, NY 11106 ATTN: Cancellations). If your payment method fails or your account is past due, Lawtrades reserves the right to either suspend or terminate your Premium Services. Any such suspension or termination will result in the cancellation of any promotional programs applicable to your Premium Services. At approximately the beginning of the month, Lawtrades shall provide licensee a record of all the user interactions that were provided in the preceding calendar month, which shall be deemed to be final and accepted. It is understood that not every user interaction is going to result in a paying client. You may notify Lawtrades should you receive an invalid user interaction during the month that the invalid client interaction is received. “Invalid user interaction” shall mean each interaction (i) with a disconnected telephone number or a user who provides an invalid telephone number, or (ii) which is a duplicate of an inquiry delivered to licensee within the previous 90 days.

20. Hyperlinks

You are granted a limited, non-exclusive right to create a text hyperlink to the Site for noncommercial purposes, provided such link does not portray Lawtrades, any of its products and services, or any professional or professional services entity in a false, misleading, derogatory or otherwise defamatory manner and provided further that the linking site does not contain any adult or illegal material or any material that is offensive, harassing or otherwise objectionable. This limited right may be revoked at any time. You may not use a Lawtrades logo or other proprietary graphic of Lawtrades to link to this Site without the express written permission of Lawtrades. Further, you may not use, frame or utilize framing techniques to enclose any Lawtrades trademark, logo or other proprietary information, including the images found at the Site, the content of any text or the layout/design of any page or form contained on a page on the Site without Lawtrades' express written consent. Except as noted above, you are not conveyed any right or license by implication, estoppel or otherwise in or under any patent, trademark, copyright or proprietary right of Lawtrades or any third party. Lawtrades makes no claim or representation regarding, and accepts no responsibility for, the quality, content, nature or reliability of third-party Web sites accessible by hyperlink from the Site, or Web sites linking to the Site. Such sites are not under the control of Lawtrades and Lawtrades is not responsible for the contents of any linked site or any link contained in a linked site, or any review, changes or updates to such sites. Lawtrades provides these links to you only as a convenience, and the inclusion of any link does not imply affiliation, endorsement or adoption by Lawtrades of any site or any information contained therein. When you leave the Site, you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from the Site.

21. Copyright and Limited Use

You are responsible for all use of the Site and Platform, and for all use of your credentials, including use by others to whom you have given your credentials. You may not use the Site in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of the Site or the Services.

Unless otherwise indicated, the Site and all content and other materials on the Site, including, without limitation, the Lawtrades logo, and all designs, text, graphics, pictures, reviews, information, data, software, sound files, other files, and the selection and arrangement thereof (collectively, the "Site Materials") are the proprietary property of Lawtrades or its licensors or users and are protected by U.S. and international copyright laws.You are granted a limited, non-sublicensable license to access and use the Site and electronically copy (except where prohibited without a license) and print to hard copy portions of the Site Materials for your informational, non-commercial, and personal use only. Such license is subject to these Terms and does not include or authorize:
- Any resale or commercial use of the Site or the Site Materials therein;
- The collection and use of any professional listings, pictures, profiles, ratings, or descriptions;
- The distribution, public performance, or public display of any Site Materials;
- Modifying or otherwise making any derivative uses of the Site and the Site Materials, or any portion thereof;Use of any data mining, robots, or similar data gathering or extraction methods;
- Downloading (other than page caching) of any portion of the Site, the Site Materials, or any information contained therein, except as expressly permitted on the Site; or
- Any use of the Site or the Site Materials other than for its intended purpose.

Any use of the Site or the Site Materials other than as specifically authorized herein, without the prior written permission of Lawtrades, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication, or otherwise. This license is revocable at any time.

Without limiting any of the foregoing, you agree that you shall not (and you agree not to allow any third party to):
- Copy, modify, adapt, translate, reverse engineer, disassemble, decompile, or create derivative works of any portion of the Site, its content or materials, and/or the Services, except to the extent such restrictions are expressly prohibited by applicable law;
- Remove any copyright, trademark, or other proprietary rights notices contained in or on the Site and/or the Services or in or on any content or other material obtained via the Site and/or the Services;
- Use any robot, spider, site search/retrieval application, or other automated device, process, or means to access, retrieve, or index any portion of the Site and/or the Services;
- Access, retrieve, or index any portion of the Site and/or the Services for purposes of constructing or populating a searchable database of reviews or information related to the legal industry;
- Reformat or frame any portion of the web pages that are part of the Site and/or the Services;
- Misuse the Services by scheduling an appointment with an Attorney User whom you have no intention of hiring;
- Create user accounts by automated means or under false or fraudulent pretenses;
- Collect or store personal data about other users in connection with the prohibited activities described in this section;
- Use any means, including software, to conduct web scraping of any portion of the Site, its content or materials, and/or the Services;
- License, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the Site, Services, or any portion thereof;
- Frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Lawtrades;
- Use any metatags or other “hidden text” using Lawtrades’ name or trademarks;
- Access the Site or Services in order to build a similar or competitive website, application, or service; or
- Remove or destroy any copyright notices or other proprietary markings contained on or in the Site or Services.

Any future release, update, or other addition to the Site or Services shall be subject to these Terms. Lawtrades, its suppliers, and service providers reserve all rights not granted in these Terms. Any unauthorized use of the Site or Services terminates the permissions granted by Lawtrades pursuant to these Terms.

22. Changes

Lawtrades reserves the right to modify these Terms at any time, as we reasonably deem appropriate, with a limited exception for certain Arbitration provisions. Lawtrades will use reasonable efforts to provide notification of material changes by email, website posting, or in-service notice. Lawtrades will determine what changes are material in its sole discretion. Visit this page to learn if Terms have changed. Your continued use of the Site and/or the Services shall constitute your affirmative acknowledgement of the Terms, the modification, and agreement to abide and be bound by the Terms, as amended. We may from time to time add new services to the Services, substitute a new service for one of the existing Services, or discontinue or suspend one of the existing Services. Information about the new services will be included on the Site, and the use of new services will be governed by these Terms. You agree that Lawtrades will not be liable to you or any third party for any suspension or discontinuation of any of the Services.

23. Your Content

You are solely responsible for content you submit (e.g., job postings, your profile, or messages). Do not post material that infringes others’ rights (e.g., copyrights, trademarks, or privacy). You may not falsely imply Lawtrades sponsors or endorses you or your content.
‍Client Users will have the opportunity to submit feedback regarding their experiences with legal professionals who are featured on the Site. It is important that you act responsibly when posting information. In providing feedback, you must give clear, honest information about the Attorney User and your experiences, but you must not use inappropriate language, make gratuitous personal criticisms or comments, or provide information that others could use to determine your identity. When participating in other interactive or community aspects of the Service, you must not post any information that another Client User may use to identify you as an individual, but you must include all relevant information in a concise manner to help us provide you with a helpful response.

Lawtrades reserves the right to publish your posted information as part of the Service and to also remove your posted information in our sole discretion for any reason or no reason. However, we are not responsible for any failure or delay in removing posted information. Keep in mind that the posted information of others is simply opinion and should not be relied on.
‍You agree that you are solely responsible for any posted information that you submit, publish, or display on the Site or transmit to other members and/or other users of the Site. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. You may not submit any content or material that infringes, misappropriates, or violates the intellectual property, publicity, privacy, or other rights of any party. You may not provide any posted information that falsely expresses or implies that such content or material is sponsored or endorsed by Lawtrades.

By posting posted information on the Site, you hereby grant Lawtrades the right to use such posted information without restriction. You represent and warrant that you have the right to grant Lawtrades, its contractors, and the users of the Site an irrevocable, non-exclusive, perpetual, royalty-free, fully sublicensable, fully paid-up, worldwide license to use, copy, publicly perform, digitally perform, publicly display, and distribute such posted information and to adapt, edit, translate, prepare derivative works of, or incorporate into other works, such posted information. 

You agree that Lawtrades shall have the exclusive right to combine your posted information with the posted information of other Lawtrades users for purposes determined by Lawtrades in its sole discretion.
‍You may not post content that: is false or intentionally misleading; harasses or advocates harassment of another person; involves the transmission of unsolicited mass mailing or “spamming”; violates the intellectual property or other rights of any person; is threatening, obscene, defamatory, or libelous; or is pornographic or sexually explicit in nature.
‍Lawtrades reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates these Terms. Such actions may include, without limitation, removing the offending communication from the Services, terminating the membership of such violators, or blocking your use of the Services and/or the Site.

24. Ownership of Site Content

All content on the Site, including but not limited to text, images, illustrations, designs, icons, photographs, video clips, and software (collectively, “Site Content”), is the property of Lawtrades or its licensors and is protected by U.S. and international copyright laws. You may not copy, reproduce, republish, upload, post, transmit, or distribute any Site Content without the prior written consent of Lawtrades, except as expressly permitted in these Terms. 

‍Certain Site Content may be available for download (“Downloadable Content”). Lawtrades grants you a limited, non-exclusive, non-transferable license to download, view, and print Downloadable Content for personal, informational, and non-commercial use only. You may not modify, alter, or remove any copyright or trademark notices from Downloadable Content. Downloadable Content does not constitute legal, financial, or professional advice and should not be relied upon as such. Any unauthorized use of Downloadable Content may violate copyright, trademark, privacy, and other laws. 

‍Any feedback, suggestions, or comments you provide regarding the Services (“Feedback”) shall become the sole property of Lawtrades. You hereby assign to Lawtrades all rights, title, and interest in such Feedback, and Lawtrades may use, modify, and incorporate Feedback into the Services without compensation or attribution.

25. Copyright Complaints

Unless otherwise indicated, the Site and all content and other materials on the Site, including, without limitation, the Lawtrades logo, and all designs, text, graphics, pictures, reviews, information, data, software, sound files, other files and the selection and arrangement thereof (collectively, the "Site Materials") are the proprietary property of Lawtrades or its licensors or users and are protected by U.S. and international copyright laws. You are granted a limited, non-sub licensable license to access and use the Site and electronically copy, (except where prohibited without a license) and print to hard copy portions of the Site Materials for your informational, non-commercial and personal use only. Such license is subject to these Site Terms and does not include or authorize: any resale or commercial use of the Site or the Site Materials therein; the collection and use of any professional listings, pictures, profiles, ratings or descriptions; the distribution, public performance or public display of any Site Materials, modifying or otherwise making any derivative uses of the Site and the Site Materials, or any portion thereof; use of any data mining, robots or similar data gathering or extraction methods; downloading (other than the page caching) of any portion of the Site, the Site Materials or any information contained therein, except as expressly permitted on the Site; or any use of the site or the Site Materials other than for its intended purpose. Any use of the Site or the Site Materials other than as specifically authorized herein, without the prior written permission of Lawtrades, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Site Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. This license is revocable at any time.

27. Term and Termination 

Lawtrades may terminate its agreement with you anytime, for convenience and without notice. Lawtrades may terminate or suspend your account immediately and without prior notice if: (i) you violate any term of this Agreement; (ii) your continued use of the Services creates a legal, financial, or reputational risk to Lawtrades; or (iii) Lawtrades ceases to offer the Services, in whole or in part.

Upon termination of this Agreement, your access to the Services will be revoked immediately, and you must cease all use of the Platform and any materials obtained through it. Lawtrades may retain or delete data associated with your account at its discretion, subject to applicable legal obligations. Any accrued but unpaid fees shall become immediately due and payable.

Provisions that survive termination of this Agreement include, but are not limited to, intellectual property rights, payment obligations, confidentiality, indemnities, and limitations of liability.

28. Compliance with Laws 

Your use of the Services must comply with all applicable federal, state, and local laws, rules, and regulations (“Applicable Laws”). By accessing or using the Services, you represent that your use complies with all Applicable Laws and is not prohibited by any such laws. You agree to adhere to all Applicable Laws in connection with your use, transmission, and disclosure of any data or information through the Services. You understand and agree that Lawtrades is not responsible for any violations of Applicable Laws arising from your use of the Services, and you will be solely responsible for and bear full liability for any such violations.

29. Limitation of Liability. Lawtrades provides the Site and the Service “as is,” without warranty of any kind

Without limiting the foregoing, Lawtrades expressly disclaims all warranties, whether express, implied, or statutory, regarding the Site and the Service, including any warranty of merchantability, fitness for a particular purpose, title, security, accuracy, or non-infringement. Specifically, Lawtrades makes no representation or warranty that the information provided through the Service is accurate, reliable, or correct; that the Service will meet your requirements, be available at any particular time or location, function uninterrupted, or be secure; that any defects or errors will be corrected; or that the Service is free of viruses or other harmful components. You assume full responsibility and risk of loss resulting from your use of information, content, or other material obtained from the Service. Some jurisdictions limit or do not permit disclaimers of warranty, so this provision may not apply to you.

Outside of any applicable insurance coverage which would cover certain users on-platform, to the extent permitted by applicable law, in no event will Lawtrades be liable to you for any loss of profits, use, or data, or for any incidental, indirect, special, consequential, or exemplary damages arising from: (a) the use, disclosure, or display of your posted information; (b) your use or inability to use the Service; (c) the Service generally or the software or systems that make the Service available; or (d) any other interactions with Lawtrades or any other User of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Lawtrades has been informed of the possibility of such damage. Lawtrades will have no liability for any failure or delay due to matters beyond its reasonable control. Some jurisdictions limit or do not permit disclaimers of liability, so this provision may not apply to you.In the event that the foregoing exclusion of liability is found unenforceable by a court of competent jurisdiction, and a determination is made that Lawtrades is liable, under no circumstances will Lawtrades be liable to you for more than the lesser of (a) the amount you have paid Lawtrades in the 90 days immediately preceding the date on which you first assert the claim or (b) $100.

You forever release, discharge, and covenant not to sue the Lawtrades Parties from any and all liability, claims, actions, and expenses that may arise, whether caused by the negligence of the Lawtrades Parties or otherwise, in connection with your use of the Service or your interaction with any party through or as a result of the Service. This means you cannot sue the Lawtrades Parties if anything happens to you or your property from using the Service or interacting with any party through the Service. The provisions in this section will survive any termination of your account(s), the Service, or this Agreement.

30. Entire Agreement

These Terms and any supplemental terms, policies, rules and guidelines posted on the Site, including the Privacy Policy, constitute the entire agreement between you and us and supersede all previous written or oral agreements. If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. The failure of Lawtrades to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

31. Assignability

We may assign this contract at any time to any parent, subsidiary, or any affiliated company, or as part of the sale to, merger with, or other transfer of our company to another entity. We will use reasonable efforts to notify you regarding any change of ownership. You may not assign, transfer or sublicense these Terms to anyone else and any attempt to do so in violation of this section shall be null and void.

32. Arbitration

These Terms shall be deemed to have been entered into and shall be construed and enforced in accordance with the laws of the State of New York as applied to contracts made and to be performed entirely within New York, without giving effect to the state’s conflicts of law statute.Any controversy, dispute, or claim arising out of or related to these Terms, their breach, termination, enforcement, interpretation, or validity, or your use of the Services shall be settled solely by final and binding arbitration before a single arbitrator in the State, City, and County of New York, pursuant to the rules of the American Arbitration Association (the “AAA Rules”). The arbitrator shall be selected from the appropriate list of AAA arbitrators in accordance with the AAA Rules and shall have substantial experience in resolving intellectual property and commercial contract disputes.

The arbitration shall proceed in the English language, and the arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement. The decision or award of the arbitrator shall be final, and judgment upon such decision or award may be entered in any court of competent jurisdiction. The arbitrator shall have the authority to impose equitable and injunctive relief as well as to award monetary relief, as the arbitrator deems appropriate.

By agreeing to these Terms, you and Lawtrades are each waiving any constitutional and statutory rights to go to court, including the right to a trial by jury or in front of a judge or to participate in a class action, class arbitration, or other representative proceeding.

You also acknowledge and agree that Lawtrades’ officers, directors, managers, and employees (“Personnel”) are third-party beneficiaries of this arbitration agreement, and that upon your acceptance of these Terms, all Personnel will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as third-party beneficiaries hereof.

This Arbitration Agreement will survive the termination of these Terms.

33. Minimum Age for Use

You must be 18 years of age or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to register with us or use the Site and the Services. If you are between the ages of 13 and 18 or the applicable legal age in your jurisdiction, you can use the Site or Services only in conjunction with, and under the supervision of, your parent or guardian who has agreed to the Terms. If you are under the age of 13, you may not use the Site or Services, in compliance with the Children's Online Privacy Protection Act. If you are the parent or legal guardian of a child under the age of 18, you may use the Site or Services on behalf of such minor child. By using the Site or Services on behalf of a minor child, you represent and warrant that you are the parent or legal guardian of such child and that all references in these Terms to “you” shall refer to such child or such other individual for whom you have authorization to enter into these Terms on their behalf, and you in your capacity as the parent or legal guardian of such child or as the authorized party of such individual. If you do not qualify under these terms, do not use the Site or Services. Membership in the Services is void where prohibited by applicable law, and the right to access the Site is revoked in such jurisdictions. By using the Site and/or the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the terms and conditions set forth herein. The Site is administered in the U.S. and intended for U.S. users; any use outside of the U.S. is at the users own risk and users are responsible for compliance with any local laws.

34. Moneyback/Returns Terms and Conditions

Once services have been rendered or work performed by Lawtrades, no refunds will be issued for such work, regardless of outcome or user satisfaction. Payments for completed services are final and non-refundable.

Disputes regarding the quality or outcome of work must be raised within 30 days of service completion. Failure to do so constitutes acceptance of the work, and no refunds or adjustments will be provided. Lawtrades reserves the right to terminate or suspend Accounts violating these terms without prior notice, and no refunds will be issued in such cases. Users are responsible for ensuring their use of the services complies with applicable laws and regulations. Lawtrades shall not be liable for damages or losses resulting from misuse of the services.

Except as expressly stated in this Agreement, all fees paid to Lawtrades, including fees for services rendered, subscriptions, and other Account-related charges, are non-refundable.

35. Statute of Limitations

You and Lawtrades both agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or this Agreement (including the Privacy Policy) must be filed within ONE (1) YEAR after the claim or cause of action arose (or, if longer, within the shortest statute of limitations for the claim which the parties may establish by agreement) or the claim will be forever barred.

36. Independent Contractor Data/Time Entry

As an attorney engaged as an Independent Contractor on the Platform, you certify that all time entries, including days, hours worked, and any other required information submitted through the Platform, are accurate, complete, and reflect work personally performed by you. You acknowledge that any falsification, misrepresentation, or material omission may result in the termination of your contract and removal from the Platform.

37. Consent to Receive Text Messages

By opting in to receive text messages from Lawtrades, you confirm that the mobile number you provide is accurate and that you are the current owner or authorized user of that number. You agree to receive recurring automated text messages (including SMS/MMS) from Lawtrades. Consent is not a condition of using our services. Message and data rates may apply, and messaging frequency varies. Your consent is voluntary. You may opt out at any time by replying STOP to any message. A final confirmation text will be sent upon opt-out. Reply HELP for assistance. Note that unsubscribing from one Lawtrades number does not apply to others; to unsubscribe from multiple numbers, reply STOP to each number. Lawtrades, carriers, and service providers are not liable for delayed or undelivered messages. You agree to indemnify and hold Lawtrades harmless from claims, including under the TCPA or similar laws, related to providing a telephone number you do not own.
